2. Payment Terms

2.1. The client agrees to pay Freelance Clerks the agreed-upon fee as specified in the written service agreement.

2.2. Payments shall be made according to the payment schedule outlined in the service agreement. Unless otherwise specified, a deposit may be required before work commences, with the remaining balance due upon project completion.

2.3. In the event of project cancellation by the client, any non-refundable deposits or fees paid will be retained by Freelance Clerks to cover project expenses and potential loss of business.

3. Intellectual Property

3.1. Any intellectual property, including but not limited to website designs, code, graphics, and content, developed by Freelance Clerks during the course of the project shall remain the property of Freelance Clerks until the full payment is received as specified in the service agreement.

3.2. Upon full payment, the client shall own the rights to the intellectual property created for their project, except for any third-party materials used under appropriate licenses.

4. Project Timeline

4.1. Freelance Clerks will make every effort to adhere to the project timeline outlined in the service agreement. However, unforeseen circumstances or delays beyond our control may arise, and we will communicate any changes promptly to the client.

4.2. The client agrees to provide timely feedback and approvals during the project’s development to ensure project milestones are met.

5. Revisions and Changes

5.1. The client may request reasonable revisions to the website during the development process. However, major scope changes that significantly alter the original project requirements may be subject to additional fees and timelines.

6. Confidentiality

6.1. Freelance Clerks and the client shall keep all information shared during the course of the project confidential and not disclose it to any third party, except as required by law.

7. Limitation of Liability

7.1. Freelance Clerks shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from the use or inability to use our services, including but not limited to lost profits, data loss, or business interruption.

8. Termination of Services

8.1. Either party may terminate the service agreement with written notice if the other party breaches any material term or condition outlined in the agreement.

9. Governing Law and Jurisdiction

9.1. These Terms and Conditions shall be governed by and construed in accordance with the laws of England. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England.
